Difference Between Ordinary Shares and DVR Shares

In a company or organization, owning one proportion usually entitles you to one vote. This remained true until the early 2000s when the initial differential voting rights (DVR) were implemented. Depending on the circumstances and company policy, a DVR share may have more or fewer voting rights than common shares.

Companies in India are not permitted to issue shares with multiple voting rights. As a result, the only application of DVR in this context is to limit equities’ voting rights. Before learning about the distinction between DVR and ordinary shares, one needs to first understand what these two terms mean.

What exactly are Ordinary Shares?

Ordinary shareholders, also known as standard equities, are the shares that grant the shareholder ownership rights. A single share entails a single voting right for the shareholder. The shareholders can vote at the company’s AGM or Annual General Meeting. When the organization is doing well, shareholders will receive rates of return on their investment in the form of dividend payouts and other benefits.

What exactly are Differential Voting Rights (DVRs)?

DVR shares are those that allow their owners to earn higher dividends. In exchange, they must give up their voting rights. The company issues these shares in order to retain voting power rather than hand over judgment strength to its shareholders.

DVR shares may be issued by any corporation that has mentioned profits in at least the previous three years. Other conditions must also be met before they can be issued. The valuation of DVR shares could indeed exceed 25% of the company’s share capital.

Explanations to Devote in DVR Shares-

  • No burden with company decisions.
  • Less expensive than regular shares.
  • Higher return on investment.
